Collaboration Agreements

If two businesses wish to work together on a commercial project, it is advisable that they enter into a “collaboration agreement” or a “contractual joint venture agreement” to define their rights and obligations in relation to the project.

 

Intellectual property provisions are particularly important in such agreements, as most of the time, cross-licensing is required to ensure that each party does not infringe the other’s intellectual property rights in the performance of their obligations in relation to and promotion of the project. Other important considerations are the liability of each party to the other and, if relevant, ensuring that appropriate safeguards are in place if personal data is to be transferred between the parties.
